Terms of Use, Disclaimer and Hold Harmless Agreement

1. Acceptance of these terms

This website, doesitpencil.org, and every calculator, report, download and page on it (together, the "Site") are owned and operated by D & A Ventures LLC, a California limited liability company doing business as Real Estate Cheat Codes, and its owners, members, managers, officers, agents, employees, contractors, affiliates, partners and licensees (together, "we," "us," "D & A Ventures LLC" or "Real Estate Cheat Codes"). By accessing, browsing or using the Site in any way, you ("you" or "User") agree to be bound by these Terms of Use, Disclaimer and Hold Harmless Agreement (the "Terms"). Your use of the Site is your acceptance of these Terms. If you do not agree, do not use the Site.

2. Educational purposes only

The Site is provided strictly as a general educational and illustrative tool. All calculators, results, verdicts (including any "red," "yellow" or "green" rating, "pencils" or "doesn't pencil" result), reports, examples and content are for educational and informational purposes only.

• Nothing on the Site is, or should be relied on as, financial, investment, accounting, tax, legal, lending, appraisal, valuation, brokerage, construction or other professional advice, or a recommendation to buy, sell, finance, hold, renovate or build any property.
• No result is an appraisal, a broker price opinion, a loan approval, a lending commitment or a guarantee of any outcome, profit, return, value, rent, cost, timeline or tax benefit.
• Use of the Site does not create any agency, fiduciary, client, broker, attorney, accountant, advisor or other professional relationship between you and us.
• You should consult your own licensed professionals, including a real estate attorney, CPA or tax advisor, lender, appraiser, licensed contractor and real estate broker, before making any decision.

3. Your inputs, assumptions and decisions

Every result depends on the numbers and assumptions you enter and on simplified default assumptions built into each calculator. Results may be incomplete, inaccurate, out of date or unsuitable for your situation. Real costs, values, rents, interest rates, taxes, timelines, laws and market conditions vary and change. You are solely responsible for verifying every figure and for every decision you make, or choose not to make, based in whole or in part on the Site. Any reliance you place on the Site is strictly at your own risk.

4. No warranties

The Site and all content, calculations and results are provided "as is" and "as available," with all faults and without warranties of any kind, express, implied or statutory, including without limitation any warranties of accuracy, completeness, reliability, timeliness, merchantability, fitness for a particular purpose, title or non-infringement, or that the Site will be uninterrupted, error-free, secure or free of harmful components. We do not warrant that any calculation, formula, default or result is correct.

5. Limitation of liability

To the fullest extent permitted by law, in no event will Real Estate Cheat Codes be liable to you or any third party for any direct, indirect, incidental, consequential, special, exemplary or punitive damages, or for any loss of profits, revenue, equity, deposits, investment, financing, opportunity, data or goodwill, arising out of or relating to the Site, these Terms, any calculation or result, or any decision or transaction you make, whether based on contract, tort (including negligence), strict liability or any other theory, even if we have been advised of the possibility of such damages. If any liability is found despite these Terms, our total aggregate liability will not exceed one hundred U.S. dollars ($100).

6. Hold harmless and indemnification

To the fullest extent permitted by law, you agree to release, defend, indemnify and hold harmless Real Estate Cheat Codes, and its owners, members, managers, officers, agents, employees, contractors, affiliates, partners, licensees, successors and assigns, from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, judgments, settlements, penalties, costs and expenses, including reasonable attorneys' fees and costs, arising out of or relating to:

• your access to or use of the Site or any calculator, result, report or download;
• any decision, offer, purchase, sale, loan, investment, renovation, construction, lease or other transaction you or anyone else enters into, declines or changes in reliance, in whole or in part, on the Site;
• any report, result or output from the Site that you share with, send to or present to any third party, including partners, investors, lenders, buyers, sellers or clients;
• the information you enter into the Site; and
• your violation of these Terms or of any law or the rights of any third party.

You waive any claim against Real Estate Cheat Codes arising from your use of the Site. If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party." You waive any similar law of any other jurisdiction.

7. Reports you share

Reports, PDFs and images generated by the Site are estimates prepared from your inputs for discussion purposes. If you share them with anyone, you are responsible for making clear that they are estimates and not professional advice, an appraisal or a guarantee, and the indemnity in Section 6 applies to any claim by the person you share them with.

8. Intellectual property and copyright

The Site and its entire contents, including without limitation the calculators, formulas, methods, logic, source code, software, text, layouts, report formats, designs, graphics, logos, the names "Does It Pencil?" and "Deal Napkin," and the Real Estate Cheat Codes name and logo, are the exclusive property of D & A Ventures LLC and are protected by United States and international copyright, trademark, trade secret and other intellectual property laws. © 2026 D & A Ventures LLC, doing business as Real Estate Cheat Codes. We grant you a limited, personal, revocable, non-exclusive, non-transferable license to use the Site for your own educational purposes. You may download or print reports you generate for your own use and to share with people involved in your own transactions. Except as expressly allowed, you may not copy, reproduce, republish, modify, translate, distribute, sell, license, frame, scrape, reverse engineer, decompile, create derivative works from, or build a competing product or service using the Site or any part of it, including its calculators, formulas or source code, without our prior written permission. Viewing the Site's source code in your browser does not grant any license to use it. Unauthorized use may violate copyright, trademark and other laws and may result in civil and criminal penalties.

9. Data stored in your browser

Calculations you save are stored only in your own web browser on your own device. We do not receive or store them on our servers. You are responsible for backing them up. Clearing your browser data may delete them, and we are not responsible for any lost data.

10. Analytics, advertising and third-party services

The Site uses cookies and similar technologies from third parties, including Google (Google Analytics and Google Ads) and Meta Platforms (the Meta Pixel), to measure visits, understand how the Site is used and show and measure advertising, including on other websites and apps. These providers may collect information such as pages viewed, links and buttons clicked, device and browser information and IP address. The numbers you enter into the calculators and your saved calculations are not sent to these providers. You can limit this tracking through your browser's cookie settings, an ad blocker, Google's Ads Settings and Meta's ad preferences. The Site also loads fonts and code libraries from third-party providers and is hosted by a third-party host. We are not responsible for third-party services, websites or content.

11. Changes

We may change, suspend or discontinue the Site or any calculator at any time without notice, and we may update these Terms at any time by posting a new version on this page. Your continued use of the Site after an update means you accept the updated Terms.

12. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to the personal jurisdiction of those courts.

13. General

If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. Sections 2 through 8, 12 and 13 survive any termination of your use of the Site. These Terms are the entire agreement between you and us about the Site.
